While I haven't fully thought it through, Stormy's position is still a tough one. She signed the contract and received the 130k payment. That should be enough to have the agreement be enforceable against her as a matter of law (at least here in Texas; I don't know if California law is different). The typical rule (again, in Texas) is that all you need is for the party against whom enforcement of the agreement is sought to a) have signed and b) receive consideration.
I don't really buy the meeting of the minds argument. Cohen likely had actual or apparent authority. It's been years since I've looked at what those rules are, but it feels like Trump wouldn't need to know about the agreement itself so long as it appeared that Cohen had authority to act on Trump's behalf (at least in the eyes of Stormy). And that rule makes sense -- a principal (as in the principal-agent relationship) having to know exactly what his agent was doing would really defeat the whole purpose behind the law of agency.“[I]f Mr. Trump was completely unaware of Mr. Cohen’s actions, the question naturally arises as to how it would be possible for a ‘meeting of the minds’ to have occurred between parties where one of the parties does not even know about the existence of the agreement?” the filing continues.
But again, I haven't really thought this through much and I don't know California law, so I'm more than happy to be wrong on this. Maybe my yeghpire spurraider21 has more insight.
