WILMINGTON, Jan 31 (Reuters) - A Delaware judge tossed out Elon Musk's record-breaking $56 billion Tesla (TSLA.O) pay package on Tuesday, calling the compensation granted by the EV maker's board "an unfathomable sum" that was unfair to shareholders.
Shares of Tesla dropped about 2% in premarket trade, and some investors seized on the ruling in hopes it might prompt Tesla to overhaul its governance.
The Tesla board has been criticized as failing to provide oversight of its combative, headline-making CEO, who has fought regulators and led several other companies at the same time.

Commission sends preliminary findings to X for breach of the Digital Services Act

Today, the Commission has informed X of its preliminary view that it is in breach of the Digital Services Act (DSA) in areas linked to dark patterns, advertising transparency and data access for researchers.

Transparency and accountability in relation to content moderation and advertising are at the heart of the DSA. Based on an in-depth investigation that included, among others, the analysis of internal company documents, interviews with experts, as well as cooperation with national Digital Services Coordinators, the Commission has issued preliminary findings of non-compliance on three grievances:

First, X designs and operates its interface for the “verified accounts” with the “Blue checkmark” in a way that does not correspond to industry practice and deceives users. Since anyone can subscribe to obtain such a “verified” status, it negatively affects users' ability to make free and informed decisions about the authenticity of the accounts and the content they interact with. There is evidence of motivated malicious actors abusing the “verified account” to deceive users.
Second, X does not comply with the required transparency on advertising, as it does not provide a searchable and reliable advertisement repository, but instead put in place design features and access barriers that make the repository unfit for its transparency purpose towards users. In particular, the design does not allow for the required supervision and research into emerging risks brought about by the distribution of advertising online.
Third, X fails to provide access to its public data to researchers in line with the conditions set out in the DSA. In particular, X prohibits eligible researchers from independently accessing its public data, such as by scraping, as stated in its terms of service. In addition, X's process to grant eligible researchers access to its application programming interface (API) appears to dissuade researchers from carrying out their research projects or leave them with no other choice than to pay disproportionally high fees.

By sending preliminary findings, the Commission informs X of its preliminary view that it is in breach of the DSA. This is without prejudice to the outcome of the investigation as X now has the possibility to exercise its rights of defence by examining the documents in the Commission's investigation file and by replying in writing to the Commission's preliminary findings. In parallel, the European Board for Digital Services will be consulted.

If the Commission's preliminary views were to be ultimately confirmed, the Commission would adopt a non-compliance decision finding that X is in breach of Articles 25, 39 and 40(12) of the DSA. Such a decision could entail fines of up to 6% of the total worldwide annual turnover of the provider, and order the provider to take measures to address the breach. A non-compliance decision may also trigger an enhanced supervision period to ensure compliance with the measures the provider intends to take to remedy the breach. The Commission can also impose periodic penalty payments to compel a platform to comply.

Brazilian fan account owners might have a reason to rejoice, as X could be returning to Brazil. According to the New York Times, in a court filing Friday night the company agreed to abide by the Supreme Court’s request in order to have the countrywide ban lifted:

Now, X’s lawyers said the company had done exactly what Mr. Musk vowed not to: take down accounts that a Brazilian justice ordered removed because the judge said they threatened Brazil’s democracy. X also complied with the justice’s other demands, including paying fines and naming a new formal representative in the country, the lawyers said.

The company has spent the last three weeks fighting the ban and continuing to distribute content from members of the far right community in Brazil. This led to X being blocked by Brazilian ISPs, and eventually trying to get around the blocks with some help from Cloudflare.

Shares in Tesla plunged about 8.8% by the close of trading Friday, a day after Elon Musk and his dancing robots failed to impress with the electric vehicle company's robotaxi unveiling.

Tesla shares opened Friday down 6% from the previous day's closing and continued to fall thoughout the day.

Feds investigating safety of Tesla’s ‘Full Self-Driving’ feature

The National Highway Traffic Safety Administration says it has launched an investigation into the safety of Tesla’s Full Self-Driving feature, or FSD, after at least one fatal accident involving a pedestrian.

The investigation is looking into four accidents involving vehicles using the FSD feature. In one, a pedestrian was struck in killed, according to the agency. In another, there was an injury.

In each the accidents, the Tesla car using FSD “experienced a crash after entering an area of reduced roadway visibility….from conditions such as sun glare, fog, or airborne dust,” said the agency’s statement about the start of the probe.

FSD is at the center of Tesla’s plans for future growth and profitability. The feature, which is sold as an $8,000 option, requires drivers to stay in the driver’s seat and be ready to take control of the vehicle in order to avoid accidents. But Tesla and CEO Elon Musk insist the feature is already safer than human-controlled driving, and the company has announced plans for true self-driving cars that would come without steering wheels, accelerators or brake pedals.

Instead of the Cybertruck achieving its promised range, Tesla said that it would launch a “range extender”, which consists of an additional battery pack that sits in the truck’s bed, taking about a third of the bed’s space.

Originally, Tesla said it would increase the range of the dual-motor Cybertruck from 340 miles to over 470 miles and the Cyberbeast from 320 miles to over 440 miles.

However, Tesla has updated its range extender specs:

I never quite got the deemphasis of NASA, there are certain disadvantages to being dependent on third parties to run your space program. People like Elon who have massive contracts with the government, business relations with the leaders of foreign countries and a friendly personal relationship with one of the candidates, need to stay in their lane.

Tesla's vehicles have the highest fatal accident rate among all car brands in America, according to a recent iSeeCars study that analyzed data from the U.S. Fatality Analysis Reporting System (FARS).

The study was conducted on model year 2018–2022 vehicles, and focused on crashes between 2017 and 2022 that resulted in occupant fatalities. Tesla vehicles have a fatal crash rate of 5.6 per billion miles driven, according to the study; Kia is second with a rate of 5.5, and Buick rounds out the top three with a 4.8 rate. The average fatal crash rate for all cars in the United States is 2.8 per billion vehicle miles driven.

The study also breaks down some of the data for individual models. The Tesla Model S has a rate more than double than average, at 5.8 per billion vehicle miles driven; meanwhile, the Tesla Model Y — the best-selling vehicle in the world has a fatal crash rate of 10.6, nearly four times the average. It ranked as the sixth worst vehicle overall. (The Hyundai Venue took the top spot overall, with a fatal crash rate of 13.9.)

Attorney General Paxton is investigating a possible coordinated plan or conspiracy to withhold advertising dollars from certain social media platforms by pressuring advertisers not to purchase online advertising space. Although companies are free to choose when and where they want to advertise, a conspiracy among companies along these lines can result in harm to competition and may violate the Texas Free Enterprise and Antitrust Act of 1983. The civil investigative demand requests documents and information related to WFA and its sub-organization known as the Global Alliance for Responsible Media (“GARM”) organizing their membership to potentially boycott social media platforms that are deemed to violate their “Brand Safety Standards.”

“It is completely unacceptable and un-American that the Department of Justice under the Biden Administration failed to enforce antitrust laws against its perceived political allies,” said Attorney General Paxton. “Trade organizations and companies cannot collude to block advertising revenue from entities they wish to undermine. Today’s document request is part of an ongoing investigation to hold WFA and its members accountable for any attempt to rig the system to harm organizations they might disagree with.”
This is monstrously gross partisan hackery against completely understandable marketplace decisions. But it gives you a good sense of the kind of hackery to expect over the next few years. Daring not to give Trump allies money will be seen as “illegal boycotts.”

By launching this bad-faith investigation into advertisers’ choices, Paxton is wielding the power of the state to bully companies into supporting his political allies. This is a blatant effort to chill the speech of Musk’s critics and coerce businesses into spending money on his platform, even if they object to how it’s being run. It’s an authoritarian tactic masquerading as an antitrust probe.
