There’s a lot where you’re already subject to criminal penalty though. Just off the top of my head, I’ve been the signer on applications filled out for healthcare facilities the company I work at owns to receive Medicaid reimbursement, and even though I was always signing on behalf of an LLC, I was subject to criminal penalty if I put anything on the application I knew to be untrue. I agree that you can’t create criminal liability for simple incompetence, but I don’t think creating it in the limited situations where there’s clear intent to break laws would make it easier to pierce the corporate veil in unrelated civil matters.
